Terms of Service

These Terms of Service (“Terms”) govern your use of Bannerabia, including the app at app.bannerabia.com and the website bannerabia.com (together, the “Service”), provided by Shutterabia Media LLC (“Shutterabia”, “we”, “us”). By creating an account, connecting an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you agree for that business.

1. The Service

Bannerabia helps you stage, review, approve, schedule and publish social media content, manage comments and reviews, and view reporting for the accounts you connect, with help from an AI assistant. Content is published only to accounts you explicitly connect, and only after it has been approved in the Service.

2. Your account

• You must be at least 18 and able to enter a binding contract.
• Keep your login details secure. You are responsible for activity under your account and for the people you invite to your organization and the roles you give them.
• Give us accurate information and keep it up to date.

3. Connected accounts

• You must be the owner or an authorized administrator of every account you connect, or have the account owner's permission.
• By connecting an account, you allow us to publish and manage content and read reporting data for that account, within the permissions you approve at sign-in.
• You can disconnect an account at any time in the App, or revoke access in the platform's own settings.

4. AI assistance

The assistant runs on the AI provider you connect, under your own account with that provider. You are responsible for that provider's charges and for complying with its terms. AI output can be wrong or inappropriate; review every draft before you approve it. Approving content is your decision.

5. Acceptable use

You agree not to use the Service to publish or send content that is unlawful, infringing, defamatory, deceptive, harassing or spam, or that violates the terms or policies of the platforms it is published to (including Meta, TikTok, Google, YouTube and LinkedIn). You must not try to break, overload, reverse-engineer or gain unauthorized access to the Service.

6. Platform rules

Our use of platform data follows each platform's developer terms and policies, including the Meta Platform Terms and the TikTok Developer Terms, and the applicable Google, YouTube and LinkedIn terms. Your use of YouTube features is also subject to the YouTube Terms of Service. We access only the data needed for the features you use.

7. Your content

You keep ownership of the content you provide. You give us a limited licence to store, process and publish it to the destinations you direct, only to provide the Service. You are responsible for having the rights to everything you upload or publish.

8. Plans and payment

Some features require a paid plan. Pricing and payment terms for paid plans are agreed with us separately. We may change plan features with reasonable notice.

9. Availability

We aim to keep the Service reliable but do not guarantee it will be uninterrupted or error-free. Publishing depends on third-party platform APIs, which may change, limit or become unavailable outside our control.

10. Suspension and termination

You may stop using the Service and delete your Client or account at any time (see Data deletion). We may suspend or end access if you breach these Terms, if required by law or a platform, or to protect the Service or other users.

11. Disclaimer

The Service is provided “as is” and “as available”, without warranties of any kind, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Shutterabia is not liable for indirect, incidental, special or consequential damages, lost profits or lost data, or for actions taken by third-party platforms on your accounts. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.

13. Indemnity

You agree to defend and indemnify Shutterabia against claims arising from your content, your connected accounts, or your breach of these Terms.

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Harris County, Texas.

15. Changes

We may update these Terms. We will change the date at the top of this page, and notify account Owners of material changes. Continuing to use the Service after changes take effect means you accept them.

Our handling of personal and platform data is described in our Privacy Policy.
